Terms of Sale

These Terms govern the sale and supply of Cendrix research materials to qualified research organizations.

1. Research Use Only

All materials supplied by Cendrix are sold exclusively for in-vitro and ex-vivo laboratory research. They are not intended for human or veterinary administration, diagnostic, therapeutic, or personal use.

2. Eligibility

Purchaser represents that it is a qualified research organization or independent researcher operating under appropriate institutional and regulatory oversight, and that any individual placing an order is authorized to do so.

3. Warranty

Cendrix warrants that materials conform to the analytical specifications stated on the lot-specific certificate of analysis at the time of release. No other warranty, express or implied, including fitness for any particular purpose, is made.

4. Indemnification

By placing an order, the purchaser agrees to defend, indemnify, and hold harmless Cendrix Research Materials, its officers, employees, affiliates, suppliers, and agents from and against any and all claims, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the purchaser's receipt, handling, storage, transfer, use, or misuse of any materials supplied by Cendrix.

This indemnification expressly includes, without limitation, any human or veterinary administration, self-experimentation, redistribution, resale, or use inconsistent with the Research Use Policy; any violation of applicable federal, state, local, or international laws or regulations; and any injury, illness, or death resulting from misuse of the materials.

5. Compliance

Purchaser assumes sole responsibility for compliance with all institutional, regulatory, import, and export requirements applicable to the receipt and use of the materials.

6. Limitation of Liability

To the maximum extent permitted by law, Cendrix's aggregate liability for any claim arising from a transaction is limited to the amount paid for the materials at issue. Cendrix is not liable for indirect, incidental, special, consequential, or punitive damages.

7. Modification

Cendrix may revise these Terms. The version effective at the time an order is placed governs that transaction.

Governing law

Laws of the State of Delaware, United States, excluding conflicts-of-law principles.
